Bernt O. Bodal, Chairman and Chief Executive Officer, Director of ASG Consolidated LLC.

Mr. Bodal has been the Chairman and Chief Executive Officer of American Seafoods Group since 2000 and Chief Executive Officer of ASG Consolidated Since 2004. In addition, since January 2000, he has also served as President of ASC Management, Inc., the general partner of ASLP and as a director of ASC Management, Inc. In May 2010 Mr. Bodal was appointed Chairman and director ASG Consolidated LLC where he serves on its Finance Committee and as an ex officio member of its Compensation Committee. From 1994 to 1998, Mr. Bodal served as President and Chief Executive Officer of American Seafoods Company and RGI Seafoods, a subsidiary of Norway Seafoods. Between 1998 and 2000, Mr. Bodal pursued personal investment activities.

William Bittner, Director of ASG Consolidated LLC.

Mr. Bittner has been a director of ASG Consolidated since May 2010. Prior to that time, he had served on the Board of Directors of ASC Management since February 2006. Mr. Bittner practices law in Alaska at Birch, Horton, Bittner and Cherot, where he has been a senior attorney since 1973. Mr. Bittner has been a shareholder in Birch, Horton, Bittner since 1973 and has served on its board of directors since 1976.

Scott Perekslis, Director of ASG Consolidated LLC.

Mr. Perekslis has been a director of ASC Consolidated LLC since May 2010 and serves on its Compensation Committee and Finance Committee. From 2000 to May 2010, he served on the Board of Directors of ASC Management, Inc. and as the chair of ASC Management’s Compensation Committee and served as a member of its Finance Committee from 2006 until 2010. Mr. Perekslis is a Senior Partner at Centre Partners Management LLC, one of our former equity investors, which he joined in 1991. Prior to joining Centre, Mr. Perekslis worked in the mergers and acquisitions department of Lazard Freres & Co. Mr. Perekslis currently serves as the Chairman of the board of directors of Connors Bros., L.P., Hyco International, Inc., and Gray Energy Services LLC. Mr. Perekslis also serves as a director of K2 Pure Solutions, L.P. Mr. Perekslis previously served on the boards of Bumble Bee Holdings, L.P., Connors Bros. Income Fund, Nexus Gas Partners LLC, Firearms Training Systems, Inc., KIK Corporation Holdings, Inc., and Maverick Media LLC. Mr. Perekslis received an A.B. from Princeton University.

John Binkley, Director of ASG Consolidated LLC.

Mr. Binkley has been a director of ASG Consolidated LLC since May 2010. From 2008 to May 2010, Mr. Binkley served on the Board of Directors of ASC Management and was the chair of its Audit Committee. Mr. Binkley is President of the Alaska Cruise Association and has previously served as Chairman and CEO of Riverboat Discovery, President of El Dorado Gold Mine and was the owner of Northwest Navigation Tug and Barge Company. In addition, Mr. Binkley has served on the board of the Alaska Railroad Corporation since 1997 and is the Chair of its Audit Committee. Mr. Binkley also serves as a board member of Enstar Natural Gas Corporation and as a member of the advisory Board of Alaska Airlines. Mr. Binkley has extensive public service experience, serving on the following public and civic bodies: U.S. Delegation on High Seas Salmon Negotiations with Japanese, U.S. State Department U.S./U.S.S.R. Fisheries Negotiations Ad Hoc Advisory Committee, Alaska Governor’s High Seas Salmon Task Force, Bering Sea Commercial Fisheries Development Foundation, Alaska/Siberia Research Center Board, Alaska Municipal League, American Heart Association (chair), Alaska Visitor’s Association (President), United Way Prospector Club (Chair) and The U.S. Secretary of Health and Human Services Office of Substance Abuse Prevention Advisory Board. Mr. Binkley has also served in the Alaska State House of Representatives, the Alaska State Senate and on the Bethel, Alaska City Council.

Elliott H. Jurgensen, Jr., Director of ASG Consolidated LLC.

Mr. Jurgensen has been a director of ASG Consolidated LLC since May 2010 and serves as the chair of its Audit Committee. Prior to that time he had served on the Board of Directors of ASC Management and as chair of its Audit Committee and also was a consultant to the Board of Directors of ASC Management. He serves in leadership roles and as the “Audit Committee financial expert” for several companies. Mr. Jurgensen is a director, Chair of the Audit Committee and member of the Compensation Committee of Isilon Systems, Inc.; a director, Chairman of the board of directors and Chair of the Compensation Committee and member of the Audit Committee of Bsquare Corporation; a director, Chair of the Audit Committee and a member of the Compensation Committee of McCormick & Schmick’s Seafood Restaurants, Inc.; and a director and Chair of the Audit Committee of Varolii Corporation. Mr. Jurgensen retired from KPMG LLP in 2003 after 32 years, including 23 years as a partner. At KPMG, he held a number of leadership roles, including: National Partner in Charge of KPMG’s Hospitality Industry Practice from 1982 to 1991, Managing Partner of the Bellevue, Washington office from 1982 to 1991, and Managing Partner of the Seattle, Washington office from 1993 to 2002. His professional experience focused on providing business advisory and audit services to clients in the technology, manufacturing, life sciences and hospitality industries. Mr. Jurgensen has a B.S. in accounting from San Jose State University.

Jonathan Thorpe, Director of ASG Consolidated LLC.

Mr. Thorpe has been a director of ASG Consolidated LLC since May 2010 and serves on its Audit Committee. Mr. Thorpe has been the Chief Financial Officer of Central Bering Sea Fishermen’s Association, or CBSFA, since 2003. Prior to joining CBSFA, he spent six years in public accounting for three different firms, including three years as the tax manager for Altman, Rogers & Co. from 1998 until 1999 and 2001 until 2003. Mr. Thorpe worked in the oil and gas industry from 1999 until 2001. Mr. Thorpe has B.S. in accounting from the University of Alaska—Anchorage and is a Certified Public Accountant.

David Posnick, Director of ASG Consolidated LLC.

Mr. Posnick has been a director of ASG Consolidated LLC since May 2010 and serves as a member of its Audit, Finance, and Compensation Committees. Mr. Posnick is a Senior Managing Director of GSO Capital Partners (“GSO”). He focuses on private investment opportunities and is a member of GSO’s Investment Committee. Before joining GSO in 2007, Mr. Posnick was a Managing Director and Vice Chairman of the Corporate and Investment Banking Division of Credit Suisse. Mr. Posnick spent 15 years in Credit Suisse and Donaldson, Lufkin & Jenrette’s Los Angeles office, where he helped to build the firm’s leveraged finance and sponsor coverage businesses, and also served as Head of the Financial Sponsors Coverage Group and of the Los Angeles office. Prior to joining Donaldson, Lufkin & Jenrette, Mr. Posnick was an analyst at Drexel Burnham Lambert. Mr. Posnick received a B.S. in Economics from the Wharton School at the University of Pennsylvania and an M.B.A. from UCLA.
