Finance Committee

Membership: Morgen Crow (Chair), Bernt Bodal, Scott Perekslis.

The Finance Committee is responsible to assist the Board's oversight of certain significant transactions as described in Section 8.8(b) of the Securityholders Agreement of American Seafoods, L.P.("ASLP"), including receiving notices from ASLP's general partner with respect to such transactions, advising and consulting with management on the terms, conditions and other matters relating to such transactions and recommending board action to be taken with respect to such transationcs. The Board of Directors has adopted a Finance Committee Charter.
